TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern the use of the EditoreX Media website and the purchase or use of video editing, motion graphics, thumbnail design and related creative services provided by EditoreX Media (“EditoreX”, “we”, “us”, or “our”).

By requesting a quotation, approving a proposal or project scope, making a payment, or otherwise confirming that EditoreX should begin work, you (“Client”, “you”, or “your”) agree to these Terms together with any project-specific quotation, proposal, scope of work, or written agreement issued for the project.

Where a written project agreement or approved quotation contains terms that specifically apply to a particular project, those project-specific terms will apply to that project to the extent of any inconsistency with these general Terms.


1. ABOUT EDITOREX MEDIA

EditoreX Media is the business name currently used for EditoreX’s creative services.

EditoreX currently operates from India and provides services to clients in India and internationally.

EditoreX is not currently presented as a registered company, private limited company, LLP, or other incorporated entity unless separately stated in a specific document.


2. SERVICES

EditoreX provides creative services that may include:

  • Video editing
  • Short-form / reel editing
  • Long-form video editing
  • Motion graphics
  • Thumbnail design
  • Podcast editing
  • Ads and creative editing
  • A-roll and B-roll editing
  • Captions and subtitles
  • Sound design and audio cleanup
  • Other creative services agreed with the Client

The exact services, deliverables, technical specifications, pricing and timeline will depend on the approved project scope.

EditoreX may accept or decline a project based on available resources, project requirements, timeline, technical requirements, subject matter, or other legitimate business considerations.


3. QUOTATIONS, SCOPE AND PROJECT CONFIRMATION

Before a project begins, EditoreX may provide a quotation, proposal, package description, or written confirmation describing the agreed scope.

A quotation may include:

  • Services and deliverables
  • Quantity and format of deliverables
  • Editing or design requirements
  • Price
  • Revision allowance
  • Estimated or agreed timeline
  • Payment schedule
  • Special requirements
  • Other project-specific conditions

The Client is responsible for reviewing the quotation or proposal before approving the project.

Work outside the agreed scope may require additional charges and/or an updated timeline.

EditoreX may not begin additional out-of-scope work until the Client approves the applicable revised price or scope, unless otherwise agreed in writing.


4. PRICING

EditoreX may offer:

  • Monthly service packages
  • Per-project pricing
  • Custom project pricing
  • International pricing in applicable currencies
  • Additional services or add-ons

Prices displayed on the website are generally starting prices and may vary depending on complexity, duration, number of deliverables, turnaround time, creative requirements, source material, revisions, technical requirements, and other project factors.

The final price applicable to a project will be the price stated in the approved quotation, proposal, package confirmation, or written project agreement.


5. PAYMENT TERMS

Unless otherwise agreed in writing, the standard payment structure for individual projects is:

50% advance payment before production begins.

50% balance payment before final high-resolution, watermark-free delivery.

EditoreX may provide a low-resolution or watermarked preview while the final balance remains unpaid.

Final high-resolution and watermark-free deliverables will be provided after the applicable balance has been received and cleared.

If a payment becomes due and remains unpaid, EditoreX may pause work and/or withhold final delivery until the outstanding amount is cleared.

Payment methods may include UPI, bank transfer, PayPal, or other mutually agreed payment methods.

The website does not currently process card payments directly unless a separate payment system is introduced.


6. PAYMENT RECEIPTS AND TAXES

EditoreX may provide a payment receipt or payment acknowledgement for amounts received.

Where applicable, taxes or statutory charges may be handled in accordance with applicable law and the Client’s specific transaction.

EditoreX does not represent any GST registration or GST number unless such registration is separately stated in the relevant document or invoice.


7. CANCELLATION AND REFUNDS

Unless otherwise agreed in writing, the following cancellation terms apply to individual projects.

The Client may request cancellation within 2 hours of making the advance payment, provided that production has not started.

Where cancellation is requested within this period and before production begins, the applicable advance payment may be refunded in full.

After the 2-hour cancellation window, the advance payment is generally non-refundable.

Once production has started, the amount paid toward the project is generally non-refundable.

These terms are subject to applicable law and any rights that cannot legally be excluded.

Custom circumstances may be handled separately where mutually agreed in writing.


8. 50% OFF FIRST EDIT OFFER

Where EditoreX offers a “50% OFF FIRST EDIT” promotion:

  • The offer is intended for new clients.
  • The offer applies to one qualifying project or edit, unless otherwise stated.
  • Eligibility may depend on project type, scope, minimum project value, and production requirements.
  • The offer cannot automatically be combined with other discounts or promotions.
  • EditoreX may determine whether a project qualifies for the promotion before production begins.
  • The discount applies to the agreed qualifying project price and does not automatically apply to future projects, additional revisions, rush charges, or out-of-scope work.

Any specific promotional conditions communicated at the time of quotation will apply to that promotion.


9. PROJECT TIMELINE AND DELIVERY

Estimated delivery timelines depend on:

  • Receipt of complete project materials
  • Availability of required information
  • Client responsiveness
  • Scope and complexity
  • Revision requirements
  • Existing production workload
  • Technical or third-party dependencies

A project timeline may change when the Client delays providing footage, assets, feedback, approvals, references, or other required information.

Where an agreed deadline is materially affected by Client delay, EditoreX may extend the delivery timeline accordingly.

For custom or complex projects, the final timeline will be agreed separately.


10. CLIENT RESPONSIBILITIES

The Client agrees to provide accurate and sufficient information, files, instructions, references, branding assets, footage, logos, music, scripts, voiceovers, and other materials reasonably required for the project.

The Client is responsible for ensuring that materials supplied by the Client can legally be used for the requested project.

The Client is also responsible for providing feedback and approvals within a reasonable period so that production can continue.


11. REVISIONS

Unless otherwise stated in the approved quotation or package:

Per-project work includes up to 2 revision rounds.

A revision round means one consolidated set of feedback relating to the current agreed creative direction.

Additional revision rounds may be charged separately.

Minor corrections relating to EditoreX’s own production mistakes are not treated as chargeable creative revisions.

A substantial change in concept, direction, structure, brief, style, footage, or creative approach after production has substantially begun may be treated as additional work or a new project.


12. CHANGE OF SCOPE

A project may require revised pricing or timeline where the Client:

  • Adds new deliverables
  • Increases video duration
  • Requests additional versions
  • Changes the agreed creative direction
  • Requests substantial re-editing
  • Adds new formats or aspect ratios
  • Requests additional animation or motion graphics
  • Requires additional assets or production work

EditoreX will communicate applicable additional charges or timeline changes before proceeding with the additional work where reasonably practicable.


13. FULL CONCEPT REWORK

Where the Client requests a substantially different creative concept after production has begun, including a complete change in style, structure, storyline, visual direction, or editing approach, EditoreX may treat the request as a new project or substantial additional work.

Any additional pricing and timeline will be communicated before the new work begins.


14. RUSH PROJECTS

Rush work may be available depending on EditoreX’s production capacity.

Rush work may require an additional fee because of accelerated scheduling, additional resources, priority handling, or compressed production timelines.

EditoreX may decline a rush request where the requested timeline is not reasonably achievable or could materially affect production quality.

Any rush fee and revised timeline should be approved before rush production begins.


15. CLIENT-PROVIDED MATERIALS AND COPYRIGHT

The Client is responsible for having the necessary rights, licences, permissions, and authorisations to use any footage, photographs, music, fonts, logos, graphics, clips, recordings, brand assets, documents, or other materials provided or specifically requested by the Client.

Where a copyright claim, Content ID claim, takedown, infringement allegation, platform restriction, or similar issue arises from materials supplied or specifically requested by the Client, the Client remains responsible for those materials, except to the extent responsibility cannot legally be excluded.

EditoreX may refuse to use a material where it reasonably believes that the material may infringe third-party rights or create material legal or platform risk.


16. THIRD-PARTY ASSETS

Where required for the agreed scope, EditoreX may use third-party assets such as stock footage, licensed music, sound effects, fonts, templates, graphics, plugins, or other production resources.

Ordinary third-party production assets reasonably required for the agreed scope may be included in the quoted project price.

Unusually expensive, exclusive, premium, custom-licensed, or Client-specific third-party assets may require additional charges after prior approval.

Third-party assets remain subject to their respective licences and terms.


17. AI AND THIRD-PARTY PRODUCTION TOOLS

EditoreX may use AI-assisted tools and third-party production software where reasonably required for editing, transcription, captions, audio processing, image or video processing, creative development, workflow assistance, or other production purposes.

Where such tools are used, relevant project materials may be processed through those services subject to their applicable terms and privacy practices.

For confidential or specially restricted projects, the Client may request specific restrictions relating to AI or third-party processing, subject to prior agreement.

18. SOURCE / EDITABLE PROJECT FILES

Unless specifically included in the approved quotation or separately purchased, source or editable project files are not included by default.

This may include:

  • Adobe Premiere Pro project files
  • After Effects project files
  • Photoshop files
  • Illustrator files
  • Editable motion graphics files
  • Project assets organised for editing
  • Working files or production files

The Client normally receives the final exported deliverables specified in the agreed scope.

Source files may be provided separately where technically available and commercially agreed.


19. FINAL DELIVERY

Final delivery generally means the final exported version of the agreed deliverable.

Where full payment has not yet been received, EditoreX may provide only a low-resolution or watermarked preview.

After full and cleared payment, EditoreX will provide the final agreed high-resolution deliverable in the applicable format.

Additional exports, versions, aspect ratios, file formats, or new deliverables that were not included in the agreed scope may be charged separately.


20. EDITOREX CORRECTIONS

Where EditoreX has made a genuine production mistake compared with the approved scope, EditoreX will correct the mistake without an additional editing charge.

A correction request for a genuine EditoreX production error should generally be raised within 7 days of final delivery.

This correction period does not cover:

  • New creative requests
  • New footage
  • New concepts
  • New versions
  • Changed instructions
  • Client preference changes
  • Scope changes
  • Additional deliverables

After the 7-day correction period, the project may be treated as closed.


21. PROJECT INACTIVITY AND ABANDONMENT

A project may be placed on hold where the Client does not provide required files, feedback, approvals, payment, communication, or other information needed to continue production.

If the Client remains inactive for 30 consecutive days, EditoreX may treat the project as abandoned or closed.

In such a case:

  • EditoreX may stop further production.
  • There is generally no obligation to continue or resume the project.
  • Previously paid amounts are generally non-refundable.
  • Any future restart may be subject to current availability, revised pricing, and a revised timeline.

These provisions remain subject to applicable law and any separately agreed written terms.


22. FILE RETENTION AND BACKUPS

EditoreX may retain project files and final exported files for up to 30 days after project completion and receipt of full and final payment.

After this period, EditoreX may permanently delete the relevant files.

The Client is responsible for maintaining its own backup of final deliverables.

Where a previously delivered final file remains available during the 30-day retention period, reasonable re-delivery of the same file may be provided without additional editing charges.

Requests for new work, new versions, new formats, or new creative deliverables are not considered simple re-delivery and may be charged separately.


23. PORTFOLIO AND SHOWCASE RIGHTS

Unless otherwise agreed in writing, EditoreX may showcase completed client work for portfolio, website, social media, case studies, presentations, promotional materials, or business development purposes.

This may include the Client’s project, final work, Client name, brand name, logo, or publicly available project information.

Where a Client specifically requests that a project, name, or logo not be publicly showcased, the Client may contact:

EditoreX will consider and implement reasonable confidentiality or portfolio restrictions that have been agreed with the Client.

Work subject to a specific confidentiality agreement or NDA will be handled according to those agreed restrictions.


24. CONFIDENTIALITY

EditoreX will use reasonable measures to keep non-public Client information confidential when such confidentiality is reasonably expected or specifically agreed.

Confidentiality requirements may be set out in a separate NDA, contract, project agreement, or written communication.

Unless specifically agreed otherwise, ordinary project communications do not automatically create a comprehensive NDA covering every type of information.


25. THIRD-PARTY COMMUNICATION AND DELIVERY SERVICES

Client files and communications may be exchanged through services such as Google Drive, Dropbox, WeTransfer, WhatsApp, Telegram, email, Google Meet, or other mutually agreed platforms.

Third-party platforms operate under their own terms, security practices, and privacy policies.

EditoreX is not responsible for service interruptions, account restrictions, outages, or third-party platform failures outside its reasonable control.


26. COMMUNICATION

EditoreX may communicate with Clients through:

  • Email
  • WhatsApp
  • Phone calls
  • Telegram
  • Google Meet
  • Other mutually agreed communication channels

Where a call or meeting is recorded, participants will be informed that recording is taking place.

Call or meeting recordings may be retained for up to 30 days after project completion and full and final payment, after which they may be deleted, subject to applicable legal, contractual, dispute, or security requirements.


27. PROJECT APPROVALS

Where the Client approves a draft, edit, design, thumbnail, concept, or other project stage, EditoreX may proceed based on that approval.

The Client is responsible for reviewing the content carefully before approval, including:

  • Names
  • Dates
  • Facts supplied by the Client
  • Branding
  • Spelling
  • Claims
  • Links
  • Legal or regulatory statements
  • Platform-specific requirements

Client approval may be treated as confirmation that the relevant stage is ready to proceed unless otherwise agreed.


28. NO GUARANTEE OF PERFORMANCE OR RESULTS

EditoreX provides creative production services but does not guarantee specific business, platform, marketing, audience, revenue, conversion, view, subscriber, engagement, ranking, or advertising results.

Creative performance may depend on factors outside EditoreX’s control, including platform algorithms, audience behaviour, content quality, publishing strategy, competition, timing, distribution, advertising budgets, and other external factors.

Any examples, case studies, testimonials, or previous results displayed by EditoreX are not guarantees of future performance.


29. WEBSITE CONTENT AND INFORMATION

Information displayed on the EditoreX website, including pricing, services, examples, packages, timelines, and promotional offers, may change from time to time.

Website information is provided for general business and informational purposes.

A project-specific written quotation or agreement will determine the actual scope and commercial terms applicable to that project.


30. ACCEPTABLE PROJECTS

EditoreX may decline or discontinue a project where the requested work involves unlawful, fraudulent, deceptive, abusive, infringing, or otherwise unacceptable activity.

EditoreX may also decline work that it reasonably believes could create significant legal, platform, reputational, security, or operational risk.


31. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, EditoreX will not be responsible for indirect, incidental, special, consequential, or loss-of-profit damages arising from a project.

Nothing in these Terms is intended to exclude or limit any liability that cannot legally be excluded or limited under applicable law.

Where liability is legally established, the extent of liability will be determined in accordance with applicable law and any valid project agreement.


32. EVENTS OUTSIDE REASONABLE CONTROL

EditoreX will not be responsible for delays or failure to perform caused by circumstances reasonably outside its control, including:

  • Internet or hosting failures
  • Platform outages
  • Software or service failures
  • Third-party provider interruptions
  • Hardware failures
  • Natural events
  • Government restrictions
  • Widespread technical disruptions
  • Serious personal or operational emergencies
  • Other events beyond reasonable control

Where reasonably possible, EditoreX will communicate significant delays and work to resume the project when practical.


33. CLIENT ACCOUNTS AND WEBSITE USAGE

The EditoreX website does not currently provide user account functionality unless expressly introduced in the future.

Clients must not use the website for unlawful purposes, attempted system abuse, malicious activity, unauthorised access, spam, or activities that interfere with the website or its operation.


34. PRIVACY

Information collected through EditoreX’s website, enquiry forms, communications, project management, and business operations is handled in accordance with the EditoreX Privacy Policy.

The Privacy Policy forms part of the website’s information and data-handling framework but does not replace project-specific commercial terms.


35. CHANGES TO THESE TERMS

EditoreX may update these Terms from time to time to reflect changes in its services, business practices, technology, or legal requirements.

The updated version will be published on this website with a revised “Last Updated” date.

Changes will generally apply prospectively and will not automatically modify already agreed project terms unless required by applicable law or expressly agreed between the parties.


36. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, the remaining provisions will continue to operate to the extent legally permitted.

The affected provision may be interpreted or modified only to the extent necessary to make it lawful and enforceable while preserving its intended commercial purpose as far as possible.


37. GOVERNING LAW AND DISPUTES

These Terms are intended to be interpreted in accordance with the applicable laws of India, subject to any mandatory rights or protections that may apply to the Client under applicable law.

Before pursuing formal legal remedies, the Client and EditoreX should first make reasonable efforts to resolve a dispute through direct communication.

Nothing in this section prevents a party from exercising rights or remedies that cannot legally be waived.

Any court or authority having lawful territorial jurisdiction under applicable law may have jurisdiction over a dispute.
